Terms of Service

01Acceptance

By signing up for, accessing, or using the BharatReach service (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.

02Who we are

The Service is provided by Sakuraj Technologies Pvt. Ltd.(“we”, “us”, or “BharatReach”).

03Eligibility and registration

You must be at least 18 years of age and capable of forming a binding contract under the Indian Contract Act, 1872 to use the Service. By registering, you represent that:

• The information you provide (business name, owner name, phone, GSTIN if any) is true, accurate, and current.
• You are authorised to bind the business you are registering on behalf of.
• You will keep your registration information up to date and maintain the confidentiality of your account credentials.

You are responsible for all activity that occurs under your account.

04Subscription and billing

BharatReach is offered on a subscription basis. The plans, prices, and features are described on our website at the time of purchase and form part of these Terms by reference.

Billing cycle and auto-renewal

• Subscriptions are billed in advance for the chosen period (monthly or annual).
• Subscriptions auto-renew at the end of each billing cycle at the then-current price for the same plan, unless you cancel before the renewal date.
• Payments are processed by our payment partner, Razorpay. By subscribing, you authorise Razorpay to charge your chosen payment method on each renewal.

Cancellation and refunds

We may change subscription prices for future renewal periods on at least 30 days' written notice to you. Continued use after a price change becomes effective is acceptance of the new price.

05Acceptable use

You agree not to use the Service to:

• Send spam, unsolicited bulk messages, or content that violates the WhatsApp Business or Meta Platforms policies, including their messaging rate limits and content guidelines.
• Publish or share content that is illegal, defamatory, obscene, fraudulent, infringes intellectual property, or violates applicable Indian law including the Information Technology Act, 2000 and the rules issued under it.
• Misrepresent your identity, your business, or the origin of content.
• Reverse-engineer, decompile, scrape, or attempt to extract our source code, models, or training data.
• Use the Service to compete with us by training a competing AI model or by reselling output without value addition.
• Circumvent rate limits, security measures, or authentication on the Service or on any third-party platform we connect to.

You are responsible for ensuring that the content you upload and the content you authorise the BharatReach agents to publish complies with the terms of the destination platform (Meta, Instagram, WhatsApp Business, ONDC, Amazon, Meesho, IndiaMART, GeM).

06Your content and our licence

You retain all ownership of the content you upload to the Service — your product catalog, photographs, business descriptions, customer-facing copy, and any other material (“Your Content”).

You grant BharatReach a worldwide, non-exclusive, royalty-free licence to host, store, process, transform, translate, and publish Your Content for the limited purpose of operating the Service on your behalf — including publishing Your Content to the connected third-party platforms you have configured. This licence ends when you remove the content or terminate your account, except to the extent third-party platforms retain copies independently of us.

You represent that you own or have the necessary rights to Your Content and that our use of it as described will not infringe any third party's rights.

07AI-generated content

A core feature of the Service is the generation of content, captions, replies, and recommendations by AI agents on your behalf.

• All AI-generated output is provided as-is. While we work hard to make it useful and accurate, AI can produce errors, omissions, hallucinations, or content that does not fit your brand.
• Where the platform asks you to review and approve content before publication, you are responsible for that review. Where the platform publishes automatically based on your standing authorisation, you are responsible for the standing authorisation itself.
• We do not guarantee any specific business outcome — including post reach, follower growth, customer enquiries, sales, or revenue.
• We do not guarantee that AI-generated content is original or that it will not coincide with content generated for other users. You should review for fit before publishing in sensitive contexts.

08Third-party services

The Service integrates with third-party platforms including Meta Platforms, Instagram, WhatsApp Business (via Interakt), ONDC, Amazon, Meesho, IndiaMART, GeM, Google Business Profile, and Razorpay. Your use of those services is also governed by their own terms and privacy policies.

We are not responsible for outages, API changes, content takedowns, account suspensions, or policy decisions made by these third-party platforms. If a platform suspends or terminates your account on their side, the BharatReach features that depend on that platform may stop working.

09Suspension and termination

By you: you may cancel your subscription at any time from your account settings or by emailing us. Cancellation stops the next renewal; you retain access through the end of the already-paid period.

By us: we may suspend or terminate your account (without refund) if you materially breach these Terms, abuse the Service or our third-party integrations, fail to pay sums due, or engage in conduct that risks harm to other users, to us, or to our platform partners. Where reasonable, we will give you notice and a chance to cure before suspending.

On termination, we will delete your data on the timeline described in our Privacy Policy.

10Disclaimers

Except as required by applicable Indian law, the Service is provided “as-is” and “as-available”. We disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation, to the maximum extent permitted by law.

11Limitation of liability

To the maximum extent permitted by applicable law:

• Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, customers, business opportunity, or data, arising out of or in connection with these Terms.
• Our total aggregate liability for all claims arising in connection with the Service in any twelve-month period will not exceed the greater of (a) the fees you paid us in the twelve months preceding the event giving rise to the claim and (b) ₹10,000.

Nothing in these Terms excludes liability that cannot be excluded under Indian law, including liability for fraud or for death or personal injury caused by negligence.

12Indemnification

You agree to defend, indemnify, and hold harmless Sakuraj Technologies Pvt. Ltd. and its directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your Content or its publication through the Service
• Your breach of these Terms or applicable law
• Your violation of any third-party right, including intellectual property and privacy rights
• Your misuse of the third-party platforms the Service integrates with

13Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India. The courts at Jaipur, Rajasthan will have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Service, subject to your non-waivable rights under applicable consumer protection law.

14Changes to these terms

We may update these Terms from time to time. When we make a material change, we will email you at least 30 days before the change takes effect and will update the “Effective date” at the top of this page. Continued use after the effective date is acceptance of the updated Terms.
